Retainer Agreement

This Retainer Agreement ("Agreement") is entered into between Integrity Assessments Investigations ("IAI"), a Texas-licensed private investigations firm, TX Lic. No. A19944401, located at iahotx.com / admin@iahotx.com, and the undersigned client ("Client") as identified in this Agreement.

1. Scope of Services

IAI agrees to provide investigative and/or consulting services as described in the Service Request section of this Agreement. The scope of services may be modified by written agreement of both parties. IAI does not guarantee any specific outcome, result, or finding as a condition of this engagement.

2. Fees and Retainer

Investigative Services are billed at $200.00 per hour, with a minimum retainer of 10 hours ($2,000.00), due upon execution of this Agreement before work commences. Consulting Services are billed at $300.00 per hour, with a minimum retainer of 10 hours ($3,000.00), due upon execution. Hours are billed in 0.25-hour increments. The applicable rate is determined by the service type selected in this Agreement.

3. 10-Hour Cap and Authorization

IAI will cease all billable work upon exhaustion of the minimum retainer (10 hours) and will not resume services without written authorization from Client and receipt of additional retainer funds. IAI will notify Client in writing when 8 hours have been expended, providing advance notice before the cap is reached.

4. Billing and Accounting

IAI will provide Client with a written accounting of hours expended upon request and upon conclusion of services. Any unused retainer balance will be refunded to Client within 30 days of written request or conclusion of services, whichever occurs first.

5. Confidentiality

IAI agrees to maintain strict confidentiality of all case-related information, client communications, and findings. All information obtained during the course of this engagement is the property of Client and shall not be disclosed to any third party without written authorization from Client, except as required by law.

6. Independent Contractor Status

IAI operates as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture between IAI and Client. IAI is licensed under Texas Occupations Code Chapter 1702 and operates under the authority of the Texas Department of Public Safety, Private Security Program.

7. Limitation of Liability

IAI's liability under this Agreement shall be limited to the amount of the retainer paid. IAI shall not be liable for any consequential, incidental, or punitive damages arising from this engagement.

8. Governing Law

This Agreement shall be governed by the laws of the State of Texas. Any dispute arising under this Agreement shall be subject to the jurisdiction of the courts of Harris County, Texas.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, representations, and agreements. Modifications must be in writing and signed by both parties.
